Terms & Conditions: Steps AI (Aide)
Please read these Terms and Conditions carefully before using Aide. By accessing or using our services, you agree to be bound by these terms.
Terms and Conditions: Steps AI (Aide)
These Terms and Conditions ("Terms") govern your access to and use of Aide, the AI-powered platform provided by Steps AI LLC ("Steps AI," "we," "our," or "us"). By creating an account, accessing our platform, or using any of our services, you agree to be bound by these Terms.
If you are using Aide on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.
If you do not agree with these Terms, you must immediately discontinue use of Aide.
1. Acceptance of Terms
1.1 Agreement to Terms
By accessing or using Aide, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms in full. These Terms constitute a legally binding contract between you and Steps AI LLC.
1.2 Supplemental Policies
These Terms incorporate by reference the following additional policies:
- •Privacy Policy: governing how we collect, use, and protect your data
- •Acceptable Use Policy: defining prohibited uses of the platform
- •Data Processing Addendum (DPA): applicable to enterprise customers
2. License and User Obligations
2.1 Limited License
Subject to your compliance with these Terms, Steps AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use Aide solely for your internal business purposes. This license does not include the right to sublicense, resell, or distribute the platform or its outputs to third parties.
2.2 Prohibited Uses
You agree not to:
- •Reverse engineer, decompile, or disassemble any part of the platform
- •Use automated means to scrape, crawl, or extract data from Aide
- •Attempt to gain unauthorized access to any system or network connected to Aide
- •Use the service to send spam, conduct phishing, or engage in any deceptive practices
- •Violate any applicable laws or third-party rights while using the platform
- •Resell, sublicense, or otherwise commercially exploit access to the service without written consent
3. User Registration & Accounts
3.1 Account Creation
To access certain features of Aide, you must create an account by providing accurate, current, and complete information. You are responsible for:
- •Maintaining the confidentiality of your account credentials
- •All activities that occur under your account
- •Notifying us immediately of any unauthorized access or security breach at tech@stepsai.ca
3.2 Account Accuracy
You agree to provide accurate and up-to-date information during registration and to keep your account details current. Steps AI reserves the right to suspend or terminate accounts where false or misleading information has been provided.
3.3 Team Accounts & Workspaces
For team or enterprise workspaces, the account owner (the individual or entity that created the workspace) is responsible for all activity within that workspace and for ensuring that all team members comply with these Terms.
4. User Content & Data Processing
4.1 Your Content
You retain full ownership of the content, data, and information you upload, connect, or otherwise provide to Aide ("User Content"). By using the platform, you grant Steps AI a limited, worldwide, royalty-free license to host, store, process, and transmit your User Content solely to provide and improve the service for your account.
4.2 Content Responsibility
You are solely responsible for your User Content and represent that:
- •You have the right to submit or connect the content to Aide
- •Your content does not violate any applicable laws or third-party rights
- •Your content does not contain malware, harmful code, or deceptive material
AI Training Restriction
Data obtained through any Workspace APIs or connected integrations is NOT used to develop, improve, or train generalized AI and/or ML models. Your data stays in your workspace.
5. Third-Party Integrations & Responsibilities
5.1 Integration Authorization
Aide supports integrations with third-party platforms including Meta (Facebook, Instagram, WhatsApp), Google Drive, Slack, Salesforce, and others. By connecting a third-party service, you confirm that:
- •You have the authority and permission to connect that service to Aide
- •You agree to those third-party platforms' own terms of service and privacy policies
- •You authorize Steps AI to access, process, and act on data from those platforms on your behalf
5.2 Meta Platform Compliance
Use of Aide's Meta integrations (Instagram, WhatsApp, Messenger) is subject to Meta's Platform Terms and Developer Policies. You must ensure that all messaging conducted through Aide complies with applicable Meta policies, anti-spam regulations, and the requirements of the relevant messaging channel. Steps AI is not responsible for any suspension or restriction of your Meta accounts due to policy violations.
5.3 No Warranty on Third-Party Services
Steps AI does not control third-party platforms and makes no warranties regarding their availability, accuracy, or compliance. We are not liable for any disruption, loss of data, or harm arising from changes to or downtime of third-party services integrated with Aide.
6. Intellectual Property
6.1 Steps AI IP
All rights, title, and interest in and to the Aide platform, including the software, algorithms, models, user interface, documentation, and brand assets, are and remain the exclusive property of Steps AI LLC. Nothing in these Terms grants you any right to use the Steps AI name, logo, or trademarks without prior written permission.
6.2 Feedback
If you provide feedback, suggestions, or ideas about Aide, you grant Steps AI a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the platform, without any obligation to compensate you or keep it confidential.
7. Limitation of Liability
7.1 Disclaimer of Warranties
Aide is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Steps AI does not warrant that the service will be uninterrupted, error-free, or free from harmful components.
7.2 Limitation of Damages
To the fullest extent permitted by applicable law, Steps AI and its affiliates, officers, employees, and licensors shall not be liable for any:
- •Indirect, incidental, special, consequential, or punitive damages
- •Loss of profits, revenue, data, business, or goodwill
- •Damages arising from unauthorized access to or alteration of your data
- •Damages arising from third-party conduct or content
In no event shall our total liability to you exceed the amount you paid to Steps AI in the twelve (12) months preceding the claim.
8. Governing Law & Dispute Resolution
8.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
8.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the use of Aide shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the award shall be final and binding.
8.3 Class Action Waiver
You agree that any claims will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
9. Subscription & Payment Terms
9.1 Billing & Renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless canceled before the renewal date. You authorize Steps AI to charge your payment method on file for all applicable fees. Prices are subject to change with reasonable notice.
9.2 Refunds
Subscription fees are generally non-refundable except where required by applicable law or explicitly stated in a separate order form or enterprise agreement. If you believe you have been billed in error, please contact tech@stepsai.ca within 30 days of the charge.
9.3 Taxes
You are responsible for all taxes, levies, or duties applicable to your purchase, excluding taxes based on Steps AI's net income. We may collect applicable taxes where required by law.
9.4 Free Trials
Steps AI may offer free trials at its discretion. At the end of a free trial, your account may automatically convert to a paid subscription unless you cancel before the trial ends. We will provide notice before any trial-to-paid conversion.
10. Termination of Access
10.1 Termination by You
You may cancel your account and terminate these Terms at any time by following the cancellation process within your account settings or by contacting tech@stepsai.ca. Cancellation takes effect at the end of the current billing period. No refunds will be issued for unused time on a canceled subscription.
10.2 Termination by Steps AI
Steps AI reserves the right to suspend or terminate your access to Aide, with or without notice, if:
- •You materially breach these Terms or any incorporated policy
- •Your use creates legal risk or security concerns for Steps AI or other users
- •We are required to do so by law or regulatory order
- •Your account has been inactive for an extended period
10.3 Effect of Termination
Upon termination, your license to use Aide ceases immediately. We will retain your data as described in our Privacy Policy and provide a reasonable window for data export upon request. Provisions of these Terms that by their nature should survive termination (including liability, IP rights, and dispute resolution) shall remain in effect.
11. Updates to These Terms
11.1 Right to Modify
Steps AI reserves the right to update or modify these Terms at any time. We will make reasonable efforts to notify you of material changes via email or in-app notification at least 14 days before the changes take effect, except where changes are required by law.
11.2 Continued Use as Acceptance
Your continued use of Aide after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the service before the effective date.
We encourage you to review these Terms periodically. The "Effective Date" at the top of this page indicates when the Terms were last updated.
